1. Services
Ten0.ai provides AI sales-training agent services, including configuration, delivery, and support of AI agents designed to simulate customer interactions, train sales personnel, and automate sales workflows ("Services").
2. Service Agreement Term
Initial Term
Standard service agreements are for a twelve (12) month initial term beginning on the effective date of the agreement.
Price Commitment
Pricing is fixed for the entire 12-month initial term. Any pricing changes require a mutual written amendment to the service agreement.
Renewal
After the initial term, agreements may renew month-to-month or for a new term at then-current rates, unless either party provides written notice of non-renewal at least 30 days before the end of the current term.
3. Fees and Payment
Clients will pay fees as specified in their service agreement. Unless otherwise stated:
- Invoices are due Net 15 days from invoice date
- Late payments may accrue a 1.5% per month finance charge (or the maximum allowed by law, if lower)
- Out-of-scope work requires prior written approval and is billed separately

4. Client Responsibilities
Clients agree to:
- Provide timely access, information, and approvals necessary for service delivery
- Use the Services lawfully and in accordance with all applicable regulations
- Avoid sharing sensitive personal data (e.g., full SSNs or payment card data) except for simulated/test values used solely for training purposes
5. Data and Intellectual Property
Client Data
Clients retain all rights to their data. Ten0.ai may process client data to perform the Services and may use de-identified or aggregated data to improve services.
IP Ownership
Each party retains ownership of its pre-existing intellectual property. Ten0.ai grants clients a non-exclusive, non-transferable license to use deliverables internally during the service term.
6. Confidentiality
Each party agrees to keep the other's confidential information confidential and use it only to perform under the service agreement. This obligation survives for three (3) years after termination.
7. Warranties and Disclaimers
Ten0.ai will perform Services in a professional and workmanlike manner. Except as stated in individual service agreements, Services are provided "AS IS", and Ten0.ai disclaims all other warranties including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Ten0.ai's total liability will not exceed the fees paid by the client in the three (3) months immediately preceding the claim.
9. Cancellation and Refund Policy
No Refunds
Ten0.ai does not offer refunds on services rendered. All fees paid are non-refundable.
Cancellation Notice
Either party may terminate a service agreement for material breach if not cured within 15 days after written notice. To cancel at the end of a term, either party must provide written notice at least 30 days before the end of the current term.
Effect of Termination
Upon termination, clients must pay all fees due through the termination date, including any approved out-of-scope work.
10. Scope Exclusions
Unless separately quoted and approved, the following are excluded from standard services:
- Major feature builds beyond initial configuration
- Third-party telephony or API usage fees
- Custom integrations with client systems
11. Governing Law
These terms and all service agreements are governed by the laws of the State of Florida, without regard to conflicts-of-law rules.
12. Entire Agreement
Service agreements represent the entire agreement between Ten0.ai and clients, superseding all prior proposals and agreements. Amendments must be in writing and signed by both parties.
